Payment Service Agreement

1. PARTIES

This Framework E-Money Issuance and Payment Service Agreement (“Agreement”) is concluded between Neon Alisa, as defined below, and the User.

This Agreement shall enter into force upon the User’s online acceptance, and the User hereby acknowledges, declares, and undertakes that the use of Neon Alisa electronic money and payment services is subject to the terms and conditions contained in this Agreement and its annexes. The User accepts that they have been informed by the “Neon Alisa Services Approval and Information Form for Myself,” which they approved before the Agreement and which is an integral part of this Agreement, regarding the execution of this Agreement via remote communication tools.

In accordance with the relevant legislation, Neon Alisa shall notify the User of any amendments to the Agreement via email and/or other electronic communication methods at least 30 (thirty) days prior to the effective date of such changes, and shall publish the revised agreement on its website. In cases where the User does not qualify as a consumer, the changes shall take effect on the date of the change notification.

Under this Agreement, Neon Alisa and the User are referred to individually as a “Party” and collectively as the “Parties.”

2. DEFINITIONS

Recipient: The real or legal person intended to receive the funds subject to the payment service.

Sender: A real or legal person who gives a Payment Order from their own payment account or without a payment account.

Strong Customer Authentication: A method involving at least two elements from different categories—knowledge, possession, or inherence—such that the compromise of one does not compromise the others.

Sensitive Payment Data: Personal security data related to the Payment Instrument that could enable fraud or unauthorized transactions if intercepted or altered, including passwords, security questions, certificates, encryption keys, PINs, card numbers, expiration dates, CVV2, and CVC2 codes.

Business Day: Monday through Friday, excluding official public holidays.

Personal Security Information: Information that identifies the Payment Instrument and the User when performing a transaction, such as password, expiration date, and security number.

Payment Transaction: A series of operations between the Platform and the User to pay for products or services offered through the Platform.

Prepaid iyzico Card (iyzico Card or Card): Virtual or physical cards issued by iyzico, which provide access to the User’s Payment Account and can be used for goods/services purchases or hold prepaid value.

System Partner: A technological solution partner, financial institution, or bank cooperating with iyzico to execute Payment Transactions.

Representative: A person acting on behalf of iyzico, as listed on iyzico’s website, to carry out operations within the scope of services committed in this Agreement.

International Card Organization: International bodies responsible for establishing rules, practices, guides, and standards to facilitate card payment transactions independently of the payment system and infrastructure.

3. SUBJECT AND SCOPE OF THE AGREEMENT

This Agreement is made to regulate the conditions under which the User can benefit from Electronic Money and Payment Services provided by iyzico, under the activity license obtained from the Authority pursuant to the Law, and to define the rights and obligations of the Parties.

4. RIGHTS AND OBLIGATIONS

4.1 Rights and Obligations Regarding the Payment Service

a. The User may benefit from the Payment Service through the Neon Alisa account created upon signing this Agreement. Payment transactions will be executed using the User’s username, password, and other authentication methods.

b. The User agrees that once a Payment Order reaches Neon Alisa, it cannot be revoked. If the Payment Order is received after 17:00 on a Business Day, it shall be deemed received on the next Business Day.

5. TERM AND TERMINATION OF THE AGREEMENT

a. This Agreement shall come into force upon approval by the User as specified in Article 1 and shall remain in effect unless terminated in accordance with the provisions herein.

b. Either Party may terminate this Agreement without cause by giving one (1) month’s written notice.

c. If either Party breaches its contractual obligations and fails to remedy such breach within one (1) week despite a written notice from the other Party, the Agreement may be terminated immediately by the notifying Party without compensation.

d. If the User is found to be using the service(s) provided under this Agreement for unlawful or immoral purposes, or if the User procures unlawful or immoral goods or services, iyzico may terminate this Agreement immediately and without compensation. The User also agrees to compensate iyzico in full, in cash, upon first request, for all damages incurred.

e. If Neon Alisa’s license is revoked for any reason, this Agreement shall be immediately terminated upon notification by iyzico without compensation. The User waives any claims other than receivables accrued prior to the termination.

f. In cases of suspected fraudulent or unauthorized use, Neon Alisa may immediately suspend services provided to the User and deactivate any issued Payment Instrument. Neon Alisa shall inform the User unless prevented by regulatory or security reasons and shall resume services once the risk is eliminated. Neon Alisa may also suspend the Service due to the User’s activities that breach this Agreement until the breach is remedied.

6. CONFIDENTIALITY AND INFORMATION SECURITY

The User agrees to keep all information obtained from Neon Alisa under this Agreement confidential, not to disclose it to third parties (except where legally required), and not to use it for purposes other than those stated in the Agreement. Breach of this obligation entitles Neon Alisa to claim all material and moral damages. This confidentiality clause survives the termination of the Agreement.

7. FORCE MAJEURE

Events beyond the control and reasonable foreseeability of the Parties, including war, martial law, mobilization, acts of terrorism, pandemics, natural disasters, fires, strikes, and lockouts, are considered force majeure. When the force majeure ends, the Agreement shall continue from where it left off. If it lasts longer than one (1) month, the affected Party may terminate the Agreement without compensation.

8. MISCELLANEOUS PROVISIONS

a. Antalya Courts and Enforcement Offices shall have jurisdiction over disputes arising from this Agreement.

b. The User may not assign or transfer their rights or obligations under this Agreement to third parties without Neon Alisa’s written consent.

c. In the event of any dispute regarding services or transactions under this Agreement, communications sent from the User’s registered contact information (fax, email, KEP address, GSM number) and records kept by Neon Alisa shall serve as valid evidence. The Parties agree that this clause constitutes an evidential contract under Article 193 of the Turkish Civil Procedure Code.

d. The addresses provided in the Agreement are legal service addresses unless changed in writing. Unless otherwise stated in the legislation, all notifications may be made in writing or electronically. Neon Alisa shall deliver its notifications to the User’s registered email address.

e. Failure of one Party to enforce any provision of this Agreement shall not be construed as a waiver of any rights. The delay or non-use of a right shall not be deemed a waiver.

f. If any non-essential provision of this Agreement is held invalid, it shall not affect the validity of the remaining provisions.

9. EFFECTIVENESS OF THE AGREEMENT

This Agreement consists of 9 articles and shall enter into force on the date of its electronic acceptance by the Parties.
